The Registrar has issued a licence with the following conditions.
Condition 1: The Licensee must employ or retain, at its own expense, a manager with experience managing or directing operations at a licensed Retirement Home in Ontario, who will have responsibility to ensure that the Home is being managed in compliance with the Retirement Homes Act, 2010 and Regulations (the “Manager”).

The Licensee must notify the RHRA immediately should the Home employ or retain a new manager.

Condition 2: Subject to Condition 3, the Licensee shall not permit any former licensee that held a licence number listed below, or any past or present officer or director of a former licensee that held a licence number listed below, as set out in a list to be provided to the Licensee, to have any decision-making authority, whether direct or indirect, with respect to the operations of the Home, the finances of the Home, or the business of operating the Home.

Condition 3: The Licensee may employ or retain a former licensee that held a licence number listed in Condition 2, or a past or present officer or director of a former licensee that held a licence number listed in Condition 2 to assist the Licensee in an advisory capacity only, for a period of no more than three (3) months from the date the licence is issued. The Licensee shall not permit the individual(s) to whom this Condition applies to have any decision-making authority, whether direct or indirect, with respect to the operations of the Home, the finances of the Home, or the business of operating the Home during or after the three-month period.

Condition 4: The Licensee shall not permit any past or present officer or director of Royal Crest Lifecare Group Inc., as set out in a list to be provided to the Licensee, to have any decision-making authority, whether direct or indirect, with respect to the Home, the finances of the Home, or the business of operating the Home.

Condition 5: The Licensee shall not permit any past or present officer or director of, or any past or present shareholder in, Ultracare Management Inc., as set out in a list to be provided to the Licensee, to have any decision-making authority, whether direct or indirect, with respect to the Home, the finances of the Home, or the business of operating the Home.

A person with a controlling interest owns more than 50% of the licensee's voting shares.
